Companies and AFSL holders are required to ensure the details they have registered with ASIC are correct and kept up to date on both registers. Any changes must be notified to ASIC within a specified time period.
The Corporations Act 2001 (Cth) (Corporations Act) requires companies to notify ASIC within 28 days of any changes to the:
- Company address
- Company officeholders and members
- Ultimate holding company; or
- Share structure.
Changes can be submitted through ASIC online access using your company’s corporate key and lodging a Changes to Company Details Transaction (Form 484). A failure to notify ASIC within 28 days of these changes may result in a late fee being incurred. A fee of $75.00 is incurred for notifying ASIC up to one month late and $312.00 where notification is over one month late.
AFSL holders are required to notify ASIC within 10 business days of any changes to:
- Address or contact information
- Responsible managers
- Membership of an External Dispute Resolution Scheme
- Authorised representatives; or
Changes can be notified to ASIC by submitting an FS20 through the Australian Financial Services Licensee portal. A failure to notify ASIC within 10 business days of these changes may result in a late fee being incurred. A fee of $75.00 is incurred for notifying ASIC up to one month late and $312.00 where notification is over one month late. AFSL holders are also required to notify ASIC of any change to controlling entity details within 30 business days, or late fees may be applicable.
It is important for AFSL holders to ensure that their company details and AFSL details are correct and consistent on both ASIC Registers, and that any changes to company or ASFL details are notified to ASIC within the required timeframes to avoid penalties.
